Our client is seeking an associate with at least two years of experience to join its Energy & Infrastructure tax team in Houston. The practice advises on tax matters arising in transactions and business operations, with this position focused on financings, M&A, and energy transition matters.
The Work
- Support tax structuring and execution for financings and M&A involving power and energy transition transactions.
- Work on energy tax-credit matters, including tax equity transactions and transfers of tax credits.
- Document and negotiate complex joint ventures, contributing to transaction terms and related tax analysis.
- Draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
- Apply partnership tax rules to transactional structures and coordinate tax issues with colleagues across relevant offices and disciplines.
- Contribute to practical tax advice for clients across transactions and related business operations.
What You Bring
- At least two years of legal experience relevant to transactional tax matters.
- Experience with financings and M&A involving power and energy transition transactions.
- Some substantive experience with energy tax-credit transactions.
- Experience documenting and negotiating complex joint ventures.
- Experience with tax equity transactions and tax-credit transfers.
- Familiarity with partnership tax rules.
- Experience drafting and negotiating tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.

Compensation & Benefits
Estimated base compensation is $235,000–$310,000, based on the 2026 Cravath base scale; this is an estimate, not a firm-stated range.
Discretionary bonuses may be available depending on application circumstances and position.
