Our client is seeking an associate with 2 or more years of experience to join its Energy & Infrastructure tax practice in Washington, DC. The role centers on the tax aspects of power and energy-transition financings and M&A, including energy tax credit transactions, and offers substantive involvement in structuring, documenting, and negotiating complex deals.
The Work
- Support tax analysis and structuring for financings and M&A involving power projects and energy-transition transactions.
- Document and negotiate complex joint ventures, applying partnership tax rules to the deal structure and related agreements.
- Work on tax equity transactions, including drafting and negotiating tax provisions and related deal documentation.
- Advise on energy tax credit transfers and related transactional issues.
- Draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
- Collaborate across transactional matters to develop practical tax approaches for clients and deal teams.
What You Bring
- At least 2 years of relevant legal experience; experience in the 2–4 year range is sought.
- Experience with financings and M&A involving power, energy, or energy-transition transactions.
- Substantive experience with energy tax credit transactions.
- Experience documenting and negotiating complex joint ventures and tax equity transactions.
- Familiarity with partnership tax rules and their application to transactional structures.
- Demonstrated ability to draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
