Our client is seeking a senior associate with at least four years of experience to join a growing Private Equity Finance team in New York City. The role focuses on borrower-side private credit, acquisition finance, and leveraged finance, with sponsor-side private equity acquisition financing experience required.
The Work
- Advise borrowers on sponsor-side private equity acquisition financings, supporting transaction structuring and execution across private credit and leveraged finance matters.
- Work on financings in both syndicated and private credit markets, including transactions spanning the middle market through complex, multi-billion-dollar deals.
- Support matters involving first- and second-lien loans, unitranche and mezzanine facilities, and asset-based loans, including first-in, last-out structures.
- Handle financing work involving preferred equity and other junior capital transactions, as well as multi-tiered capital structures.
- Address transaction issues involving subordination, security arrangements, intercreditor matters, restructurings, equity co-investments, and related tax or regulatory considerations.
- Work with private equity sponsors, borrowers, lenders, and other market participants to advance financing transactions and address client objectives.
What You Bring
- At least four years of relevant legal experience in borrower-side private credit, acquisition finance, or leveraged finance.
- Experience with sponsor-side private equity acquisition financings is required.
- Knowledge of borrower-side financing transactions in syndicated lending and/or private credit markets.
- Experience with leveraged or acquisition financing structures and related transaction considerations.
- Ability to contribute to the structuring and execution of complex financing matters, including multi-party transactions.
- Familiarity with loan structures such as first- and second-lien, unitranche, mezzanine, or asset-based facilities is relevant to the practice.
