Our client is seeking an associate to join its growing Private Equity Finance team in Boston. The opportunity is focused on borrower-side financings, including private credit, acquisition finance, and leveraged finance transactions, with sponsor-side private equity acquisition financing experience preferred.
The Work
- Advise borrowers on private credit, acquisition finance, and leveraged finance transactions, contributing to matters from financing structure through transaction execution.
- Work on sponsor-backed private equity acquisition financings and other leveraged transactions, helping address borrower financing objectives and deal-specific issues.
- Handle matters across private credit and syndicated markets, with exposure to structures that may include unitranche, first- and second-lien, mezzanine, and asset-based loans.
- Contribute to work involving preferred equity and other junior capital, including related subordination, security, and intercreditor considerations.
- Engage with complex financing issues that may involve restructurings, equity co-investments, and tax or regulatory matters.
- Collaborate across a broader private capital platform serving borrowers and other market participants in transactions ranging from middle-market deals to complex, large-scale financings.
What You Bring
- At least one year of borrower-side experience in private credit, acquisition finance, or leveraged finance.
- Experience or a demonstrated interest in sponsor-backed private equity acquisition financings is preferred.
- Understanding of borrower-side financing considerations in private credit and leveraged lending transactions.
- Familiarity with financing structures such as unitranche, first- and second-lien, mezzanine, or asset-based loans is relevant.
- Ability to assess and work through transaction issues involving security, subordination, or intercreditor arrangements.
- Strong analytical, communication, and collaboration skills suited to complex financing matters and coordinated deal teams.
- J.D. and admission to practice in the relevant jurisdiction are required.

Compensation & Benefits
Estimated 2026 base compensation is $225,000; discretionary bonuses may be available depending on application circumstances and position.
