Our client is seeking an associate with at least one year of borrower-side private credit, acquisition finance, or leveraged finance experience to join a growing Private Equity Finance practice in Washington, D.C. The team is considering associates in the second through fourth year classes; sponsor-side private equity acquisition finance experience is preferred.
The Work
- Advise borrowers on private credit, acquisition finance, and leveraged finance transactions, contributing to matters from financing structure through execution.
- Work on sponsor-backed acquisitions and leveraged buyouts, including financings in both syndicated lending and private credit markets.
- Support financings involving first- and second-lien loans, unitranche and mezzanine loans, and other debt structures.
- Contribute to asset-based lending matters, including first-in, last-out structures, and to preferred equity and other junior capital transactions.
- Address structural issues involving subordination, collateral and security, and intercreditor arrangements in multi-tiered capital structures.
- Work with a practice spanning middle-market transactions through complex, multi-billion-dollar financings, and collaborate on related restructuring, tax, and regulatory considerations.
What You Bring
- At least one year of experience in borrower-side private credit, acquisition finance, or leveraged finance.
- Experience advising borrowers in financing transactions and familiarity with private credit or syndicated lending markets.
- Understanding of sponsor-backed private equity acquisition financings; this experience is preferred.
- Knowledge of financing structures such as first- and second-lien, unitranche, mezzanine, or asset-based loans is relevant to the practice.
- Ability to engage with transaction structuring and issues involving security, subordination, and intercreditor arrangements.
- Interest in working across complex financing matters and coordinating with colleagues on related private capital, restructuring, tax, or regulatory issues.
