Our client is seeking an associate with at least two years of securities litigation experience to join its Securities and M&A Litigation practice in San Diego. The position is within the 3rd- to 5th-year associate class and offers work across complex securities, corporate, regulatory, and professional-liability disputes.
The Work
- Contribute to securities class actions, stockholder derivative suits, and related disputes involving public companies, emerging companies, boards, and financial institutions.
- Work on IPO, direct-listing, and SPAC-related securities litigation, as well as books-and-records demands and special committee investigations.
- Support litigation arising from public and private transactions, including fiduciary-duty claims, disclosure disputes, appraisal actions, and corporate-control matters.
- Assist with deal-related injunction proceedings and post-closing disputes, including alleged covenant breaches, indemnification and representation claims, and earnout disputes.
- Contribute to strategies for stockholder demands and derivative actions, including efforts to resolve threatened claims or seek dismissal before discovery.
- Work on SEC and regulatory enforcement matters and investigations, drawing on a practice with experience involving regulators, prosecutors, and policymakers.
- Assist in defending accounting firms and individual accountants in civil and criminal litigation, regulatory investigations, and professional-liability proceedings.
- Participate in complex litigation that may proceed through motion practice, settlement discussions, or trial, in coordination with a team that works closely with clients on business-minded strategies.
What You Bring
- At least two years of securities litigation experience.
- Experience or demonstrated interest in complex securities disputes, including class actions or derivative litigation.
- Familiarity with litigation involving mergers and acquisitions, stockholder rights, corporate governance, or transaction-related claims is relevant to the practice.
- Ability to contribute to litigation matters involving pleadings, discovery, motion practice, investigations, or trial preparation, as supported by prior experience.
- Interest in matters involving SEC or regulatory enforcement, accountants’ and professional liability, or other complex commercial disputes is relevant to the team’s work.
