Our client is seeking an associate with a minimum of two years of securities litigation experience to join its Litigation & Trial practice in Washington, DC. The associate will work on complex securities and corporate disputes, including matters involving public companies, financial institutions, boards, and significant transactions.
The Work
- Contribute to securities class actions and stockholder derivative litigation, including disputes concerning directors, officers, corporate governance, and disclosure.
- Work on litigation arising from IPOs, direct listings, SPACs, and other securities matters, as well as books-and-records demands and special committee investigations.
- Assist with disputes involving public and private M&A transactions, including fiduciary-duty claims, appraisal actions, corporate-control contests, and deal-related injunction proceedings.
- Help address contractual and post-closing disputes, including material adverse effect claims, covenant breaches, indemnification and representation-and-warranty claims, and earnout disputes.
- Support matters involving SEC and regulatory enforcement, from investigations and related litigation through proceedings where trial advocacy may be required.
- Contribute to professional-liability matters involving accounting firms and individual accountants, including civil and criminal litigation and investigations involving the PCAOB.
What You Bring
- At least two years of securities litigation experience.
- Experience working on complex litigation matters and familiarity with the stages of disputes, from investigation and pleadings through motion practice and trial.
- Strong legal research, analysis, and writing skills applicable to securities and corporate disputes.
- Ability to work collaboratively on matters involving companies, boards, financial institutions, and other clients.
- Interest in developing litigation skills across securities, M&A, regulatory, and professional-liability matters.
