Our client is seeking an associate with at least two years of securities litigation experience to join its Securities and M&A Litigation practice in New York City. The role is part of the 3rd- to 5th-year associate class and offers the opportunity to contribute to complex, high-stakes disputes and investigations.
The Work
- Contribute to the defense of securities class actions, stockholder derivative suits, IPO and direct-listing litigation, and SPAC-related securities matters.
- Work on corporate governance disputes, including books-and-records demands and audit or special litigation committee investigations.
- Support litigation involving public and private transactions, including fiduciary-duty claims, disclosure suits, appraisal actions, and corporate-control disputes.
- Participate in disputes concerning deal protection, preliminary injunctions, alleged covenant breaches, material adverse effects, and other failed-transaction issues.
- Work on post-closing litigation, including indemnification, representations and warranties, and earnout disputes.
- Contribute to SEC and regulatory enforcement matters and professional-liability cases, including matters that may involve civil or criminal proceedings and investigations.
- Work with clients on litigation strategy and approaches designed to address their business objectives and mitigate litigation risk.
What You Bring
- At least two years of securities litigation experience.
- Experience or substantive exposure to complex securities disputes, including class actions or derivative litigation.
- Ability to contribute to litigation strategy and advocacy in matters involving corporate, transactional, or regulatory issues.
- Relevant experience with M&A-related stockholder disputes, SEC or regulatory matters, or professional-liability litigation is applicable to the practice’s work.
- Interest in working on complex matters that may involve pretrial proceedings and trial.
