Our client is seeking an associate with at least two years of securities litigation experience to join its Securities and M&A Litigation practice in Austin. The role is part of the 3rd- to 5th-year associate class and offers work on complex disputes involving public companies, transactions, corporate governance, and financial markets.
The Work
- Contribute to litigation strategy and case development in securities disputes, including class actions, stockholder derivative suits, and claims involving IPOs, direct listings, and SPACs.
- Work on corporate and transactional disputes arising before or after a deal signing, including fiduciary-duty, disclosure, appraisal, and corporate-control matters.
- Assist with disputes that threaten a transaction, including requests for preliminary injunctions, and support litigation concerning alleged covenant breaches or other failed-deal issues.
- Contribute to post-closing litigation involving indemnification, representations and warranties, earnouts, and other contractual claims.
- Support responses to stockholder demands and corporate governance claims, including matters where the team seeks resolution or dismissal before discovery.
- Work on SEC and other regulatory enforcement matters, as well as investigations involving securities issues.
- Participate in matters that may proceed through dispositive motions and trial, across federal and state courts and other relevant forums.
What You Bring
- At least two years of securities litigation experience.
- Experience or demonstrated interest in complex commercial litigation involving securities, public companies, or financial markets.
- Familiarity with securities class actions, derivative litigation, or related stockholder disputes.
- Interest or experience in M&A-related litigation, including fiduciary-duty, disclosure, deal, or post-closing disputes.
- Ability to contribute to litigation matters involving regulatory enforcement, investigations, or trial proceedings is relevant to the practice.
