Our client is seeking an associate with at least two years of securities litigation experience to join its Boston Securities and M&A Litigation practice. The work involves complex, high-stakes disputes for companies, boards of directors, and financial institutions, with matters ranging from securities claims and regulatory proceedings to litigation arising from corporate transactions.
The Work
- Contribute to securities class actions, stockholder derivative suits, IPO and direct-listing litigation, SPAC-related disputes, and books-and-records matters.
- Work on corporate governance and derivative matters, including stockholder demands and claims involving directors, officers, and other parties.
- Assist with M&A disputes arising before and after signing or closing, including fiduciary-duty suits, appraisal actions, and disclosure claims.
- Work on deal-related litigation involving preliminary injunctions, corporate control, hostile takeovers, activism defense, and proxy contests.
- Handle contract and post-closing disputes, including material adverse effect and covenant claims, indemnification and representation-and-warranty matters, and earnout disputes.
- Contribute to SEC and regulatory enforcement matters, investigations, and securities-related civil or criminal proceedings.
- Support litigation strategies that may pursue early dismissal or resolution and, when necessary, proceed through trial.
What You Bring
- At least two years of securities litigation experience.
- Experience or demonstrated interest in complex commercial litigation involving securities, corporate governance, or public-company matters.
- Ability to engage with litigation matters involving pleadings, stockholder demands, investigations, and trial proceedings.
- Familiarity with disputes arising from public or private transactions, including fiduciary-duty, appraisal, or contract claims, is relevant to the practice.
- Interest in working on matters involving SEC or regulatory enforcement and professional liability is relevant to the broader team’s work.
