Position overview

Our client is seeking an associate with at least two years of securities litigation experience to join its 3rd- to 5th-year associate class in Chicago. The practice handles complex, high-stakes disputes involving securities, corporate transactions, stockholder claims, and regulatory matters.

The Work

  • Contribute to the strategy and litigation of securities class actions, stockholder derivative suits, and other disputes involving public companies, emerging companies, boards, and financial institutions.
  • Work on litigation connected to IPOs, direct listings, SPACs, books-and-records demands, and audit or special litigation committee investigations.
  • Assist with disputes arising from public and private transactions, including fiduciary-duty and disclosure claims, appraisal actions, corporate-control disputes, and proxy contests.
  • Support litigation concerning deal protections, alleged covenant breaches, material adverse effects, indemnification, representations and warranties, earnouts, and other post-closing issues.
  • Participate in matters involving SEC or other regulatory enforcement, investigations, and defense of civil or criminal securities claims.
  • Collaborate with clients on practical strategies to manage litigation risk and pursue business objectives, with matters spanning court proceedings, investigations, and trial.

What You Bring

  • At least two years of securities litigation experience.
  • Experience or demonstrated interest in complex commercial or securities disputes, including class actions or derivative litigation.
  • Familiarity with litigation arising from mergers and acquisitions, stockholder claims, or corporate governance matters is relevant to the practice.
  • Ability to contribute to litigation strategy and work on matters that may involve motion practice, investigations, and trial.
  • Sound judgment in approaching complex disputes with attention to client business objectives.
