Our client is seeking an associate with at least two years of securities litigation experience to join its Houston Litigation Department at the 3rd- to 5th-year associate level. The practice handles complex disputes involving securities, corporate governance, public and private transactions, and regulatory matters.
The Work
- Help develop strategies for complex securities disputes, including securities class actions, stockholder derivative suits and claims involving IPOs, direct listings or SPACs.
- Contribute to matters involving pleadings, dismissal arguments and other proceedings; the practice regularly seeks to resolve derivative claims before discovery and pursues favorable outcomes through trial when necessary.
- Work on M&A and stockholder disputes arising before and after signing, including fiduciary-duty, disclosure, appraisal, corporate-control and proxy-contest matters.
- Support litigation over transaction terms and post-closing obligations, including material adverse effect and covenant disputes, indemnification and representations-and-warranties claims, and earnout disputes.
- Assist with injunction proceedings that may delay or prevent a transaction from closing, as well as damages claims arising after closing.
- Contribute to SEC and regulatory enforcement matters, accountants’ and professional-liability litigation, and related investigations.
- Work on matters where litigation strategy intersects with business objectives, including early advice concerning deal protections, conflicts of interest and disclosure obligations.
What You Bring
- At least two years of securities litigation experience.
- Experience appropriate to joining the 3rd- to 5th-year associate class.
- Knowledge of securities disputes, including class actions, derivative litigation or other stockholder claims.
- Relevant experience with complex pleadings, dismissal motions, discovery, court proceedings or trial preparation.
- Familiarity with corporate or M&A disputes, including fiduciary-duty, deal-related or post-closing claims, is relevant to the practice.
- Experience or interest in matters involving SEC or regulatory enforcement, corporate governance or professional liability is relevant.
