Our client is seeking an associate with at least two years of securities litigation experience to join its San Francisco litigation practice. The role offers exposure to complex securities, transactional, and corporate-governance disputes, with matters spanning early strategy through motion practice and trial.
The Work
- Contribute to securities class actions, stockholder derivative suits, and other high-stakes disputes involving public and emerging companies, boards, and financial institutions.
- Work on IPO, direct-listing, and SPAC-related litigation, as well as books-and-records demands and special committee investigations.
- Assist with pre- and post-signing M&A disputes, including fiduciary-duty claims, appraisal actions, disclosure suits, and corporate-control disputes.
- Support litigation involving hostile transactions, activism defense, proxy contests, deal protections, and disclosure obligations.
- Work on contract and post-closing disputes, including material adverse effect claims, covenant breaches, indemnification and representations-and-warranties claims, and earnout disputes.
- Contribute to matters involving SEC or regulatory enforcement, including litigation and investigations, and to professional-liability disputes involving accounting firms and individual accountants.
- Help develop strategies aimed at resolving matters efficiently, including dismissal efforts, defenses to preliminary injunctions, discovery and trial preparation, and trial work.
What You Bring
- At least two years of securities litigation experience.
- Experience or demonstrated interest in complex commercial litigation, securities disputes, or shareholder litigation.
- Ability to analyze claims involving securities, corporate governance, transactions, or regulatory issues.
- Strong legal research, writing, and analytical capabilities for pleadings, motions, and other litigation submissions.
- Ability to contribute to case strategy and litigation work across multiple stages, from early assessment through trial.
- Interest in client-focused representation and disputes where litigation strategy is connected to business objectives.
