Position overview

Our client is seeking an associate with at least four years of applicable experience to join its Liability Management practice in Costa Mesa. The team advises companies, sponsors, creditor groups, lenders, and investors on complex capital-structure challenges and bespoke transactions in stressed and distressed contexts.

The Work

  • Analyze corporate capital structures with senior lawyers to identify potential liability management solutions and evaluate how different parts of the capital structure may be affected.
  • Advise clients on strategic alternatives and execution risks for complex liability management, non-traditional distress, and exchange transactions.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Work with debt, equity, and hybrid instruments in highly structured situations, developing commercially responsive approaches to capital-structure challenges.
  • Support clients including public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
  • Coordinate with colleagues across Banking and Private Credit, Capital Markets, Restructuring, M&A, Tax, and Litigation on interdisciplinary matters.
  • Manage junior associates on matters and contribute to their development while taking on responsibility in a fast-paced practice.

What You Bring

  • At least four years of applicable legal experience; mid-level candidates with approximately 4–8 years are sought.
  • Experience or demonstrated capability in liability management, restructuring, distressed situations, or related complex finance transactions.
  • Comfort working across the capital structure and analyzing bespoke debt, equity, and hybrid instruments.
  • Ability to conduct detailed corporate capital-structure analysis and assess strategic alternatives and execution considerations.
  • Strong drafting, analysis, and negotiation skills involving credit agreements, indentures, intercreditor arrangements, transaction support agreements, or related documents.
  • Ability to collaborate with senior lawyers and interdisciplinary teams, advise clients, and manage or support the development of junior associates.

Estimated base compensation is $310,000–$435,000, based on the 2026 Cravath base scale, and should not be read as a firm-stated range.
