Our client is seeking an associate with at least four years of applicable experience to join its Chicago Liability Management practice. The team advises clients navigating complex capital-structure challenges and structures solutions across debt, equity, and hybrid instruments in stressed and distressed situations.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing capital structures and identify opportunities for liability management solutions.
- Advise clients on strategic alternatives, transaction structuring, and execution risks in complex capital-structure situations.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Contribute to bespoke liability management and exchange transactions involving public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Manage junior associates on matters and support their professional development.
What You Bring
- At least four years of applicable legal experience; the role is intended for an associate with approximately 4–8 years of experience.
- Experience advising on liability management transactions or related work involving stressed or distressed companies and capital structures.
- Ability to analyze complex capital structures and work across debt, equity, and hybrid instruments.
- Experience drafting, analyzing, and negotiating financing or transaction documents, including credit agreements, indentures, and intercreditor arrangements.
- Sound judgment in evaluating strategic alternatives and execution risks in complex transactions.
- Ability to collaborate with senior lawyers and manage or support the development of junior associates.
