Our client is seeking a mid-level associate with at least four years of applicable experience to join its Liability Management practice in Houston. The role offers sophisticated work advising clients on complex capital-structure challenges and transactions involving debt, equity, and hybrid instruments in stressed and distressed contexts.
The Work
- Conduct detailed structural analysis of existing corporate capital structures with senior lawyers to identify opportunities for liability-management solutions.
- Advise clients on strategic alternatives, commercial considerations, and execution risks as they navigate capital-structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Work on liability-management, non-traditional distress, and exchange transactions involving public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Address bespoke, highly structured debt, equity, and hybrid instruments in stressed and distressed situations.
- Manage junior associates on matters and contribute to their development.
What You Bring
- At least four years of applicable legal experience; mid-level candidates with approximately 4–8 years are of interest.
- Experience or demonstrated capability in liability management, restructuring, distressed transactions, or related financing work.
- Comfort working across the capital structure and analyzing complex debt, equity, and hybrid instruments.
- Strong structural and commercial analytical skills, including the ability to assess strategic alternatives and execution risks.
- Experience drafting, analyzing, and negotiating credit agreements, indentures, intercreditor arrangements, transaction support agreements, or related documents.
- Ability to develop practical solutions for complex, highly structured transactions.
- Capacity to take ownership of workstreams and collaborate with senior lawyers and interdisciplinary teams.
- Ability and interest in managing junior associates and supporting their professional development.

Estimated base compensation is $310,000–$435,000, based on the 2026 Cravath scale; the range is an estimate rather than firm-stated compensation.
