Our client is seeking a mid-level associate with at least four years of applicable experience to join its Liability Management practice in Los Angeles. The role involves advising clients on complex capital structure challenges and executing bespoke transactions in stressed and distressed contexts.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing capital structures and identify potential liability management solutions.
- Advise clients on strategic alternatives and execution risks in complex, highly structured transactions.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Support liability management, non-traditional distress, and exchange transactions involving debt, equity, and hybrid instruments.
- Advise a range of clients, including public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Help manage junior associates and contribute to their development while collaborating with lawyers across related practice areas.
What You Bring
- At least four years of applicable legal experience; mid-level candidates with approximately 4–8 years are of interest.
- Experience with liability management, restructuring, or related matters involving stressed or distressed companies.
- Comfort analyzing capital structures and working across different levels of the capital structure.
- Ability to assess bespoke debt, equity, and hybrid instruments and develop practical transaction solutions.
- Strong drafting, analysis, and negotiation skills involving credit agreements, indentures, intercreditor arrangements, or related documents.
- Sound judgment when evaluating strategic alternatives and transaction execution risks.
- Ability to work collaboratively with senior lawyers and support the development of junior associates.
