Position overview

Our client is seeking an associate with 4–8 years of applicable experience to join a sophisticated Liability Management practice in New York City. The team advises across complex capital structure challenges and develops tailored solutions for clients in stressed and distressed situations.

The Work

  • Conduct detailed structural analysis of existing corporate capital structures to identify opportunities for liability management solutions.
  • Advise clients on strategic alternatives and execution risks in complex liability management and non-traditional distress transactions.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related documents.
  • Work on bespoke transactions involving debt, equity, and hybrid instruments, including exchange transactions in stressed or distressed contexts.
  • Advise a varied client base that includes public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
  • Collaborate across banking and private credit, capital markets, restructuring, M&A, tax, and litigation perspectives to develop commercial transaction solutions.
  • Manage junior associates on matters and contribute to their development while working closely with senior lawyers and clients.

What You Bring

  • At least four years of applicable legal experience; candidates with approximately 4–8 years are sought.
  • Experience or demonstrated capability in liability management, restructuring, or related complex corporate finance matters.
  • Comfort analyzing transactions across the capital structure and working with bespoke debt, equity, and hybrid instruments.
  • Strong ability to assess corporate capital structures, strategic alternatives, and transaction execution risks.
  • Experience drafting, analyzing, and negotiating credit agreements, indentures, intercreditor arrangements, transaction support agreements, or related documents.
  • Sound judgment and ability to contribute to client advice on complex matters in stressed or distressed situations.
  • Ability to work collaboratively with senior lawyers and other practice areas and to manage and support junior associates.

Compensation & Benefits

The supplied base compensation estimate is $310,000–$435,000 based on the 2026 Cravath scale; this is an estimate, not a firm-stated range.
