Our client is seeking a Liability Management Associate with at least four years of applicable experience to join its Boston team. This role offers substantial exposure to complex capital structure challenges and bespoke transactions in stressed and distressed situations.
The Work
- Analyze existing corporate capital structures with senior lawyers to identify opportunities for liability management solutions.
- Advise clients on strategic alternatives, transaction structures, and execution risks in complex or distressed situations.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Work across debt, equity, and hybrid instruments on liability management, exchange, and other non-traditional distress transactions.
- Support public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors as they address capital structure challenges.
- Manage junior associates on matters and contribute to their development.
What You Bring
- At least four years of applicable experience in liability management.
- Comfort working across the capital structure in stressed and distressed contexts.
- Ability to analyze bespoke, highly structured debt, equity, and hybrid instruments.
- Strong structural and commercial analysis skills, including the ability to identify practical transaction solutions.
- Experience advising clients on strategic alternatives and execution risk.
- Strong drafting, document analysis, and negotiation capabilities for complex financing and transaction documents.
- Ability to collaborate effectively with senior lawyers and manage and support junior associates.

Estimated base compensation is $310,000–$435,000, based on the 2026 Cravath scale; this is an estimate, not a client-stated salary range.
