Position overview

Our client is seeking an associate with at least four years of applicable experience to join its San Francisco Liability Management practice. The team advises companies, sponsors, creditor groups, lenders, and investors on complex capital-structure challenges and tailored solutions in stressed and distressed situations.

The Work

  • Work with senior lawyers to conduct detailed structural analysis of existing capital structures and identify potential liability-management opportunities.
  • Advise clients on strategic alternatives, transaction structures, and execution risk in complex or distressed situations.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Contribute to liability-management, non-traditional distress, and exchange transactions involving public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
  • Navigate bespoke and highly structured debt, equity, and hybrid instruments, developing commercial solutions to capital-structure challenges.
  • Manage junior associates and contribute to their development while collaborating with senior lawyers and colleagues across related practices.

What You Bring

  • At least four years of applicable legal experience, with relevant liability-management, restructuring, or related transactional experience.
  • Ability to work across the capital structure and analyze complex existing debt and other financing arrangements.
  • Experience or demonstrated capability in stressed and distressed contexts involving bespoke debt, equity, and hybrid instruments.
  • Strong drafting, analytical, and negotiation capabilities involving credit agreements, indentures, intercreditor arrangements, transaction support agreements, or related documents.
  • Ability to assess strategic alternatives and execution considerations for complex transactions.
  • Capacity to work collaboratively with senior lawyers and clients and to manage and support junior associates.

Compensation & Benefits

Comprehensive well-being resources and benefits are available, and discretionary bonuses may be available depending on the application and position.

Estimated base compensation is $310,000–$435,000, based on the 2026 Cravath base scale; this is an estimate, not a firm-stated range.
