Position overview

Our client is seeking an associate with at least four years of relevant experience to join its Liability Management practice in Austin. The role involves advising companies, sponsors, creditor groups, lenders, and investors on complex capital structure challenges, including liability management and non-traditional distress and exchange transactions.

The Work

  • Analyze existing corporate capital structures with senior lawyers to identify potential liability management strategies and develop commercially responsive solutions.
  • Advise clients on strategic alternatives and execution risks in stressed and distressed situations, including transactions involving bespoke debt, equity, and hybrid instruments.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Contribute to liability management, exchange, and other non-traditional distress transactions for public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
  • Coordinate with colleagues across Banking and Private Credit, Capital Markets, Restructuring, M&A, Tax, and Litigation to address complex, cross-disciplinary capital structure issues.
  • Take responsibility for transaction workstreams and support the management, guidance, and development of junior associates.

What You Bring

  • At least four years of applicable legal experience; candidates with approximately 4–8 years of experience are of interest.
  • Experience advising on liability management, restructuring, distressed situations, or related complex financing transactions.
  • Ability to analyze corporate capital structures and work across debt, equity, and hybrid instruments.
  • Strong drafting, document analysis, and negotiation skills, including experience with credit agreements, indentures, or intercreditor arrangements.
  • Sound judgment in evaluating strategic alternatives and execution considerations in complex or stressed situations.
  • Ability to work collaboratively with senior lawyers and colleagues across practice areas and to contribute to junior associate development.
