Our client is seeking an associate with at least four years of applicable experience to join its Liability Management practice in Washington, D.C. The team advises clients navigating complex capital structure challenges and develops tailored solutions in stressed and distressed contexts.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing capital structures and identify opportunities for liability management solutions.
- Advise clients on strategic alternatives, transaction structures, and execution risks in complex and often highly structured situations.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Work across the capital structure on bespoke debt, equity, and hybrid instruments in stressed and distressed contexts.
- Advise public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on liability management and non-traditional distress and exchange transactions.
- Collaborate with lawyers across Banking and Private Credit, Capital Markets, Restructuring, M&A, Tax, and Litigation to develop commercial solutions.
- Manage junior associates on matters and contribute to their professional development.
What You Bring
- At least four years of applicable legal experience; mid-level associate experience is sought.
- Experience or demonstrated capability in liability management, restructuring, or related complex financing work.
- Comfort working across the capital structure and navigating bespoke debt, equity, and hybrid instruments.
- Ability to analyze corporate capital structures and identify potential transaction strategies.
- Strong drafting, document analysis, and negotiation skills, including experience with credit agreements, indentures, intercreditor arrangements, or related transaction documents.
- Sound judgment in evaluating strategic alternatives and execution risks in stressed or distressed situations.
- Ability to work collaboratively with senior lawyers and multidisciplinary teams in a fast-paced environment.
- Capacity to manage junior associates and support their development.
