Position overview

Our client is seeking a mid-level associate to join its Liability Management practice in Menlo Park. The team advises companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on complex capital structure challenges and liability management transactions.

The Work

  • Conduct detailed structural analysis of existing corporate capital structures to identify potential liability management opportunities and evaluate possible approaches.
  • Advise clients on strategic alternatives and execution risks in stressed and distressed situations, working with senior lawyers to develop tailored solutions.
  • Work on liability management, exchange, and other non-traditional distress transactions involving bespoke, highly structured debt, equity, and hybrid instruments.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Coordinate with lawyers across banking and private credit, capital markets, restructuring, M&A, tax, and litigation practices on matters requiring interdisciplinary analysis.
  • Support junior associate development and help manage their work while taking on increasing responsibility for matter execution.

What You Bring

  • At least four years of applicable legal experience; mid-level candidates with approximately four to eight years of experience are encouraged to apply.
  • Experience advising on liability management, restructuring, or related complex financing matters in stressed or distressed contexts.
  • Ability to analyze corporate capital structures and work across debt, equity, and hybrid instruments.
  • Experience drafting, analyzing, and negotiating complex financing or restructuring transaction documents.
  • Sound judgment in assessing strategic alternatives and transaction execution risks.
  • Strong collaboration and communication skills, including the ability to work effectively with clients, senior lawyers, and multidisciplinary teams.
  • Ability and interest in taking ownership of workstreams and supporting the development of junior associates.

Compensation & Benefits

Estimated base compensation is $310,000–$435,000, based on the 2026 Cravath scale and not stated by the employer; discretionary bonuses may be available depending on the position and application circumstances.
