Our client is seeking an associate with 4–8 years of experience to join its Liability Management practice in San Diego. The role involves advising clients on complex capital structure challenges and highly structured transactions in stressed and distressed situations.
The Work
- Analyze corporate capital structures with senior lawyers to identify opportunities for liability management solutions and assess the options available to clients.
- Advise public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on strategic alternatives and execution risk.
- Work across debt, equity, and hybrid instruments in stressed and distressed contexts, developing tailored approaches to complex capital structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Contribute to high-profile, market-shaping liability management and non-traditional distress and exchange transactions.
- Manage junior associates on matters and support their development while collaborating with colleagues across related practice areas.
What You Bring
- At least four years of applicable legal experience; mid-level candidates with approximately 4–8 years of experience are encouraged to apply.
- Experience advising on liability management, restructuring, or related transactions involving stressed or distressed companies.
- Ability to analyze capital structures and work across debt, equity, and hybrid instruments.
- Sound judgment in evaluating strategic alternatives and transaction execution risks.
- Strong drafting, analytical, and negotiation skills, including experience with credit agreements, indentures, intercreditor arrangements, or related transaction documents.
- Ability to work collaboratively with senior lawyers and clients and to manage and support junior associates.
