Our client is seeking an associate with two to three years of experience to join its Liability Management practice in Menlo Park. This opportunity offers substantive involvement in complex capital structure matters and liability management transactions for a diverse range of corporate and financial clients.
The Work
- Work with senior lawyers to conduct detailed structural analysis of clients’ existing capital structures and identify potential liability management solutions.
- Advise clients on strategic alternatives and execution risks as they address complex capital structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Contribute to the full spectrum of liability management transactions, including non-traditional distress and exchange transactions.
- Support matters for public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Manage junior associates on assignments and contribute to their professional development.
What You Bring
- Two to three years of relevant legal experience.
- Experience primarily in traditional finance, high-yield capital markets, or restructuring is encouraged.
- Strong analytical skills, including the ability to assess corporate capital structures and evaluate potential transaction approaches.
- Experience drafting, analyzing, and negotiating complex financing or restructuring transaction documents.
- Ability to advise on strategic alternatives and assess execution risks in sophisticated transactions.
- Capacity to take ownership of work, collaborate with senior lawyers, and help manage and develop junior associates.
