Our client is seeking an associate with 2–3 years of experience to join its Liability Management practice in San Diego. The team advises companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on complex capital-structure challenges, including liability management and non-traditional distress and exchange transactions.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing capital structures and identify potential liability management solutions.
- Advise clients on strategic alternatives and evaluate execution risks in complex transactions and capital-structure situations.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Contribute to liability management, non-traditional distress, and exchange transactions for corporate and investor-side clients, including sponsors, creditor groups, direct lenders, and distressed investors.
- Coordinate with colleagues across banking and private credit, capital markets, restructuring, M&A, tax, and litigation to develop tailored approaches to client challenges.
- Take on meaningful responsibility in a fast-paced practice and help manage and support the development of junior associates.
What You Bring
- Two to three years of legal experience, with at least two years of relevant experience.
- Experience in traditional finance, high-yield capital markets, or restructuring is encouraged.
- Ability to analyze corporate capital structures and assess potential liability management strategies.
- Experience drafting, reviewing, and negotiating financing or related transaction documents.
- Sound judgment in evaluating strategic alternatives and execution risks.
- Strong collaboration and communication skills, including the ability to work effectively with senior lawyers and contribute to junior associate development.
