Position overview

Our client is seeking an associate with two to three years of experience to join its Liability Management practice in Washington, DC. The team advises clients navigating complex capital structure challenges through liability management transactions and other non-traditional distress and exchange transactions.

The Work

  • Work with senior lawyers to conduct detailed structural analyses of existing corporate capital structures and identify opportunities for liability management solutions.
  • Advise clients on strategic alternatives, transaction structures, and execution risks as they address complex capital structure challenges.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Support public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors in liability management and exchange transactions.
  • Collaborate across banking and private credit, capital markets, restructuring, M&A, tax, and litigation capabilities to develop tailored approaches to client matters.
  • Take an active role in coordinating junior associates and supporting their professional development.

What You Bring

  • Two to three years of relevant legal experience.
  • Experience primarily in traditional finance, high-yield capital markets, or restructuring is encouraged.
  • Strong understanding of corporate capital structures and the ability to identify and assess potential liability management solutions.
  • Experience drafting, analyzing, and negotiating complex finance or restructuring documents, such as credit agreements, indentures, and intercreditor arrangements.
  • Ability to evaluate strategic alternatives and execution risks and communicate practical advice to clients.
  • Sound judgment, attention to detail, and the ability to contribute effectively in a fast-paced, collaborative practice.

Compensation & Benefits

The estimated base salary range is $235,000–$260,000; discretionary bonuses may be available depending on circumstances and position.
