Our client is seeking an associate with 2–3 years of experience to join its Liability Management practice in Los Angeles. The position offers hands-on work advising clients on complex capital structure challenges, liability management transactions, and non-traditional distress and exchange transactions.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing corporate capital structures and identify opportunities for liability management solutions.
- Advise public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on strategic alternatives and execution risks.
- Support complex liability management transactions and non-traditional distress and exchange transactions, developing commercial solutions to capital structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Collaborate across banking and private credit, capital markets, restructuring, M&A, tax, and litigation practices to address interconnected transaction issues.
- Take on responsibility for managing junior associates and supporting their professional development.
What You Bring
- Two to three years of relevant legal experience.
- Candidates with a primary background in traditional finance, high-yield capital markets, or restructuring are encouraged to apply.
- Ability to analyze corporate capital structures and evaluate potential liability management strategies.
- Experience drafting, analyzing, and negotiating finance or restructuring transaction documents.
- Ability to assess strategic alternatives and execution risks in complex transactions.
- Strong collaboration skills and readiness to work with senior lawyers, clients, and junior team members.

Compensation & Benefits
Estimated base compensation is $235,000–$260,000; this is an estimate and not a firm-stated compensation range.
