Our client is seeking an associate with 2–3 years of experience to join its Liability Management practice in Costa Mesa. The role involves complex capital-structure analysis and creative solutions for clients navigating liability management transactions and other forms of financial distress.
The Work
- Work with senior lawyers to conduct detailed structural analysis of existing corporate capital structures and identify opportunities for liability management solutions.
- Advise clients on strategic alternatives and assess execution risks in complicated transactions involving capital-structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Support public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on liability management matters.
- Contribute to non-traditional distress and exchange transactions, developing tailored approaches to clients’ circumstances.
- Collaborate across banking and private credit, capital markets, restructuring, M&A, tax, and litigation disciplines.
- Take on responsibility for managing junior associates and supporting their professional development.
What You Bring
- Two to three years of relevant legal experience.
- Experience in traditional finance, high-yield capital markets, or restructuring is encouraged.
- Ability to analyze complex corporate capital structures and evaluate potential liability management strategies.
- Experience advising clients on strategic alternatives and transaction execution risks.
- Strong drafting, document analysis, and negotiation capabilities, including experience with credit agreements, indentures, or related financing documents.
- Ability to contribute effectively on complex, fast-paced transactions and collaborate with senior lawyers and colleagues across practice areas.
- Interest and ability in supporting and developing junior associates.
