Our client is seeking an associate with two to three years of experience to join its Liability Management practice in Boston. The team advises clients confronting complex capital structure challenges through liability management, non-traditional distress, and exchange transactions.
The Work
- Analyze corporate capital structures with senior lawyers to identify potential liability management solutions and assess the commercial considerations involved.
- Advise clients on strategic alternatives and execution risks as they evaluate complex capital structure transactions.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Work on liability management, non-traditional distress, and exchange transactions for public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Coordinate with colleagues across Banking and Private Credit, Capital Markets, Restructuring, M&A, Tax, and Litigation to develop tailored solutions.
- Take on meaningful responsibility in a fast-paced practice, collaborate with senior lawyers, and help manage and develop junior associates.
What You Bring
- Two to three years of relevant legal experience; candidates with a minimum of two years are encouraged to apply.
- Experience primarily in traditional finance, high-yield capital markets, or restructuring is particularly relevant.
- Strong understanding of corporate capital structures and the ability to conduct detailed structural analysis.
- Experience drafting, analyzing, and negotiating financing or capital markets documents, such as credit agreements, indentures, or intercreditor arrangements.
- Ability to evaluate strategic alternatives and communicate execution risks and commercial considerations to clients.
- Strong analytical, writing, collaboration, and organizational skills suited to complex, fast-paced transactions.
- Interest and capability in taking ownership of workstreams and supporting the professional development of junior associates.
