Our client is seeking an associate with 2–3 years of experience to join its Liability Management practice in San Francisco. The team advises clients navigating complex capital structure challenges through liability management, non-traditional distress, and exchange transactions.
The Work
- Work with senior lawyers to conduct detailed structural analysis of corporate capital structures and identify opportunities for liability management solutions.
- Advise clients on strategic alternatives, commercial considerations, and execution risks associated with complex capital structure challenges.
- Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
- Contribute to liability management and non-traditional distress and exchange transactions for public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors.
- Collaborate across banking and private credit, capital markets, restructuring, M&A, tax, and litigation practices to develop tailored client solutions.
- Take on meaningful responsibility in a fast-paced practice and help manage junior associates while supporting their professional development.
What You Bring
- Two to three years of relevant legal experience; a minimum of two years is required.
- Experience primarily in traditional finance, high-yield capital markets, or restructuring is encouraged.
- Strong ability to analyze corporate capital structures and evaluate potential transaction strategies and execution considerations.
- Experience drafting, reviewing, and negotiating financing or capital markets documents, such as credit agreements, indentures, intercreditor arrangements, or transaction support agreements.
- Sound legal judgment and the ability to contribute to commercially oriented solutions for complex client matters.
- Collaborative working style and interest in taking early responsibility and supporting junior colleagues.

Compensation & Benefits
Estimated base compensation is $235,000–$260,000; this is an estimate rather than firm-stated compensation.
