Position overview

Our client is seeking an associate with 2–3 years of experience to join its Liability Management practice in Austin. The role offers hands-on work on complex capital structure challenges and liability management transactions, with candidates from traditional finance, high-yield capital markets, or restructuring backgrounds encouraged to apply.

The Work

  • Work with senior lawyers to conduct detailed structural analysis of existing corporate capital structures and identify potential liability management solutions.
  • Evaluate strategic alternatives and execution risks, helping clients assess practical paths through complex capital structure challenges.
  • Draft, analyze, and negotiate transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents.
  • Advise public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on liability management matters.
  • Contribute to non-traditional distress and exchange transactions, including matters requiring tailored, commercially focused solutions.
  • Take ownership of workstreams on high-profile transactions and help manage and support the development of junior associates.

What You Bring

  • Two to three years of relevant legal experience.
  • Experience primarily in traditional finance, high-yield capital markets, or restructuring is encouraged.
  • Ability to analyze corporate capital structures and identify potential transaction opportunities.
  • Experience drafting, analyzing, and negotiating complex financing or restructuring documents.
  • Ability to assess strategic alternatives and execution risks in demanding transactional settings.
  • Strong collaboration skills and readiness to work with senior lawyers, clients, and junior team members.
