Our client is seeking a senior associate with at least four years of experience to join its Project Development & Finance practice in San Diego. The practice represents project lenders and sponsors in complex financings across industrial sectors and geographies, including transactions connected to the evolving energy landscape.
The Work
- Advise project lenders and sponsors on project financings, applying an understanding of both sides of the transaction to support commercially workable deal structures.
- Help assess proposed transactions at the outset, identify potential legal and commercial pitfalls, and develop solutions that move matters toward completion.
- Work on financing structures across a broad range of industrial sectors and geographies, with exposure to energy-transition-related matters.
- Support transaction structuring for sponsors, considering financeability and terms that can provide ongoing value through the life of a project.
- Assist lender clients with structuring transactions to support successful syndication and appropriate security.
- Coordinate with regulatory and industry-focused colleagues to identify issues and opportunities that may affect project development and financing.
- Contribute to the execution of complex transactions within a practice that completes more than 100 project financings annually.
What You Bring
- At least four years of legal experience, with experience appropriate for a senior associate role.
- Experience in project development and/or project finance, preferably at a large national or international law firm.
- Experience advising project lenders, sponsors, or other participants in project finance transactions.
- Ability to assess transaction risks and develop practical approaches to address legal and commercial issues.
- Experience or demonstrated capability in financing structuring and supporting complex transaction execution.
- Strong understanding of project finance considerations across relevant industries; exposure to energy-transition matters is relevant to the practice.
