Our client is seeking mid-level and senior finance associates to join a growing Bay Area practice serving companies and investors across technology, life sciences, artificial intelligence, fintech, digital infrastructure, and other high-growth industries. The work combines banking, private capital, and innovation-focused financing across the business lifecycle.
The Work
- Lead financing transaction execution and manage deal processes from structuring through closing, working directly with borrowers, lenders, sponsors, founders, and investment professionals.
- Draft and negotiate credit agreements, commitment papers, collateral documents, and related financing documentation for a range of sophisticated transactions.
- Advise on venture debt and growth capital facilities, bilateral and syndicated credit facilities, and acquisition financings.
- Work on recurring-revenue and cash-flow financings, asset-based and structured financings, and convertible or hybrid financing structures.
- Support subscription and net asset value facilities, warehouse transactions, specialty finance, and cross-border financing matters.
- Develop bespoke financing structures for companies and investors where conventional lending approaches may not address the commercial or capital needs involved.
- Coordinate multidisciplinary teams across corporate, tax, intellectual property, restructuring, executive compensation, and regulatory practices.
- Contribute to practice development and mentor junior lawyers while collaborating with colleagues across related transactional practices.
What You Bring
- Approximately 3–7 years of experience in banking, finance, leveraged finance, private credit, venture lending, or related financing transactions.
- Experience representing borrowers, lenders, sponsors, or investors in financing matters.
- Strong drafting and negotiation skills, including experience with credit agreements and related financing documents.
- Ability to manage transaction processes and coordinate multiple parties and workstreams.
- Excellent project management, communication, and collaborative skills.
- Outstanding academic credentials.
- Admission to the California bar or eligibility for admission.
- Experience in acquisition finance, private credit, venture lending, structured finance, fund finance, or other sophisticated financing transactions is encouraged.
