Position overview

Our client is seeking an associate with at least two years of private credit, acquisition finance, or leveraged finance experience to join its growing lender-side Banking & Private Credit practice in San Diego. The team represents arrangers and direct lenders across sophisticated financing transactions.

The Work

  • Support the structuring, negotiation, and execution of private credit, acquisition finance, and leveraged finance transactions for arrangers and direct lenders.
  • Draft and negotiate financing documentation and help address security, subordination, intercreditor, and other structural issues in complex capital arrangements.
  • Work on syndicated loans, leveraged buyouts, and acquisition financings, coordinating with deal teams and engaging with lender clients throughout transactions.
  • Assist with direct-lending matters involving first- and second-lien, unitranche, mezzanine, and asset-based loans, including first-in-last-out structures.
  • Contribute to preferred equity and other junior capital transactions, including multi-tiered capital structures and equity co-investment matters.
  • Gain exposure to transactions spanning the middle market through complex, multi-billion-dollar financings across syndicated and private credit markets.

What You Bring

  • At least two years of experience in private credit, acquisition finance, or leveraged finance.
  • Experience advising or working on matters for lenders, arrangers, or other credit providers.
  • Knowledge of financing transactions and the documentation used to structure and execute them.
  • Ability to contribute to the drafting and negotiation of financing documents and related deal issues.
  • Familiarity with syndicated lending, direct lending, leveraged buyouts, or acquisition financings.
  • Exposure to loan structures such as first- and second-lien, unitranche, mezzanine, or asset-based loans is relevant.
  • Strong analytical, drafting, communication, and transaction-management capabilities.
