Position overview

Our client is seeking an associate with at least two years of private credit, acquisition finance, or leveraged finance experience to join a growing Banking & Private Credit practice in Costa Mesa. The team represents arrangers and direct lenders in sophisticated financing transactions.

The Work

  • Advise arrangers and direct lenders in the structuring and execution of leveraged and acquisition financings.
  • Work on private credit transactions, including first- and second-lien loans, unitranche loans, mezzanine loans, and other junior capital structures.
  • Support asset-based lending matters, including financings involving first-in, last-out structures.
  • Address complex capital-structure issues involving subordination, security, and intercreditor arrangements.
  • Contribute to broadly syndicated loan transactions and financings involving financial sponsors, public companies, and other borrowers.
  • Work across matters ranging from middle-market financings to large, complex transactions, with exposure to clients and market participants across industries.

What You Bring

  • At least two years of experience in private credit, acquisition finance, or leveraged finance.
  • Experience or a demonstrated interest in lender-side financing work.
  • Knowledge of private credit and leveraged finance transaction structures.
  • Ability to analyze financing structures and address security, subordination, and intercreditor issues.
  • Experience with syndicated lending, asset-based lending, or acquisition financings is relevant.
  • Strong legal analysis, communication, and collaboration skills.
