Position overview

Our client is seeking a highly qualified associate with at least two years of experience in mergers and acquisitions and private equity transactions to join its Washington, D.C. corporate practice. The role offers exposure to a broad range of transactions, from private equity investments through exits, alongside strategic M&A matters.

The Work

  • Advise on mergers and acquisitions and private equity transactions, supporting clients and deal teams through the key stages of a transaction.
  • Work on private equity matters spanning initial investments, portfolio-company transactions, and exits.
  • Contribute to sophisticated cross-border carve-outs, tax-free spin-offs, and multi-billion-dollar going-private transactions.
  • Support M&A matters involving shareholder activism, antitrust challenges, and evolving regulatory requirements.
  • Assist with strategic and board-level counseling, drawing on related capabilities such as capital markets, executive compensation, leveraged finance, and tax.
  • Collaborate across a global platform that brings together M&A, private equity finance, fund formation, capital markets, and other relevant capabilities.

What You Bring

  • At least two years of experience in mergers and acquisitions and private equity transactions.
  • Experience advising on or supporting private equity transactions across the investment-to-exit lifecycle.
  • Transactional experience relevant to complex M&A matters, including cross-border carve-outs, spin-offs, or going-private transactions.
  • Ability to engage with transaction issues involving shareholder activism, antitrust, or regulatory considerations.
  • Interest and capability in working across related disciplines, including private equity finance, capital markets, tax, or executive compensation.
  • Candidates should be at a level aligned with the third- through sixth-year associate class.
