Position overview

Our client is seeking an associate with at least two years of mergers and acquisitions and private equity transaction experience to join its Houston practice. The opportunity is within an associate class spanning third- through sixth-year lawyers and offers exposure to a broad range of domestic and cross-border corporate transactions.

The Work

  • Contribute to mergers and acquisitions matters, supporting clients as they pursue strategic transactions and address deal-related challenges.
  • Work on private equity transactions across the investment lifecycle, from initial investment through exit, including matters involving portfolio companies.
  • Participate in sophisticated cross-border carve-outs, tax-free spin-offs, and going-private transactions.
  • Support transaction work involving a range of deal structures and industries, with teams drawing on M&A, private equity finance, fund formation, and capital markets capabilities.
  • Assist with M&A-related issues such as shareholder activism, antitrust challenges, and evolving regulatory requirements.
  • Work with colleagues delivering coordinated advice that may include board counseling, capital markets, executive compensation, leveraged finance, and tax-related support.

What You Bring

  • At least two years of experience in mergers and acquisitions and private equity transactions.
  • Experience contributing to corporate transactions and supporting deal execution in a legal practice.
  • Familiarity with private equity transactions across investment and exit stages.
  • Ability to work on complex domestic or cross-border transaction matters, including carve-outs, spin-offs, or going-private transactions.
  • Interest or experience in addressing transaction-related regulatory, antitrust, or shareholder matters.
  • Strong analytical, communication, and collaboration skills suited to working with clients and multidisciplinary deal teams.

Estimated base compensation is approximately $235,000; this is a market estimate, not firm-stated compensation, and discretionary bonuses may be available depending on the position and application circumstances.
