Position overview

Our client is seeking an Investment Funds associate with at least three years of relevant experience to join its Washington, D.C. practice. The role focuses on liquidity transactions, secondaries markets, and related fund operational matters, advising fund sponsors on complex matters across the private capital landscape.

The Work

  • Advise fund sponsors on liquidity transactions, including continuation funds and recapitalizations, from structuring through execution.
  • Work on traditional LP portfolio sales and other secondary transactions, with exposure to matters representing sponsors and strategic investors.
  • Support fund-level and GP-level preferred equity investments, addressing transaction structuring and related fund considerations.
  • Advise on investments in firm sponsors and related liquidity solutions for private capital managers.
  • Handle fund operational matters connected to liquidity transactions and sponsor needs.
  • Work with fund clients across buyout, venture, and credit strategies, with matters involving fund, securities, tax, and regulatory considerations.

What You Bring

  • At least three years of legal experience focused on liquidity transactions, secondaries markets, and related fund operational matters.
  • Experience advising fund sponsors on private funds or other private capital matters.
  • Knowledge of continuation funds, recapitalizations, and traditional LP portfolio sales.
  • Experience with fund-level or GP-level preferred equity investments is relevant to the work.
  • Ability to contribute to complex transactions involving fund sponsors and strategic investors.
  • Strong analytical, drafting, and communication skills appropriate to client-facing transactional work.
