Position overview

Our client is seeking an associate with at least three years of emerging growth company experience to join its Bay Area Emerging Companies & Growth practice. The practice advises startups, emerging companies, venture capital partners, and institutional investors from company formation through financings and potential liquidity events.

The Work

  • Advise emerging companies on formation and corporate matters, helping address needs from the earliest stages through periods of rapid growth.
  • Work on equity and growth financings for company and investor clients, including angel and seed investments and other venture financings.
  • Contribute to financing matters involving structured debt and equity solutions, drawing on the practice’s relationships with venture capital and growth equity investors.
  • Support strategic corporate counseling for companies as they navigate business objectives and increasingly complex legal challenges.
  • Work on matters that position companies for liquidity events, including public offerings, direct listings, and deSPAC transactions.
  • Engage with companies in innovation-driven industries, including technology and its subsectors, biotechnology and life sciences, and next-generation manufacturing.

What You Bring

  • At least three years of experience advising emerging growth companies.
  • Experience with company formation and corporate matters for startups or emerging companies.
  • Knowledge of equity and growth financings, including venture capital transactions.
  • Ability to contribute to client counseling across company and investor matters.
  • Experience or interest in capital markets transactions and liquidity events, including public offerings, direct listings, or deSPACs, is relevant to the practice.
