Our client is seeking an associate with at least three years of experience to join its Data & Technology Transactions practice in New York City. The role offers exposure to complex technology and intellectual property matters, with work spanning commercial agreements and IP issues in major corporate and finance transactions.
The Work
- Negotiate and advise on technology and intellectual property agreements, including technology licenses, development agreements, consulting services agreements, and distribution arrangements.
- Work on strategic alliances, joint ventures, collaborations, and outsourcing and cloud agreements across industries and market sectors.
- Advise on website and mobile application licenses and terms of use, as well as arrangements supporting technology and data products.
- Handle intellectual property-related work in acquisition, investment, and financing transactions, including complex carve-outs.
- Support clients in protecting and commercializing technology, data, and intellectual property assets amid evolving regulatory requirements.
- Coordinate with corporate and finance teams on major transactions, addressing the technology, data, and IP dimensions of broader deals.
- Contribute to client guidance on technology and data strategies, platform development, and secure and compliant products.
What You Bring
- At least three years of experience handling technology and intellectual property transactions.
- Experience with technology licensing, development, consulting services, or distribution agreements.
- Experience working on strategic alliances, joint ventures, collaborations, outsourcing, or cloud arrangements.
- Familiarity with website and mobile application licenses and terms of use.
- Experience handling IP-related issues in acquisition, investment, or financing transactions.
- Ability to work across commercial technology matters and corporate or finance transactions.
