Our client is seeking an associate with at least three years of experience to join its Data & Technology Transactions practice in Washington, D.C. The role offers a broad mix of commercial technology and intellectual property transactions, alongside IP-related work on significant corporate and finance matters.
The Work
- Draft and negotiate technology and intellectual property agreements, including technology licenses, development agreements, consulting services agreements, and distribution agreements.
- Advise on strategic alliances, joint ventures, collaborations, outsourcing arrangements, and cloud agreements across industries and market sectors.
- Handle licensing and commercial terms for websites and mobile applications, including terms of use.
- Advise on intellectual property and technology issues in acquisition, investment, and financing transactions.
- Work on technology and data aspects of major transactions, including asset commercialization and complex carve-outs.
- Help clients develop strategies to protect and make effective use of technology and data amid evolving regulation.
What You Bring
- At least three years of relevant legal experience.
- Experience handling technology and intellectual property transactions.
- Experience with technology licensing and development agreements.
- Familiarity with consulting services, distribution, strategic alliance, outsourcing, or cloud agreements.
- Experience with website and mobile application licenses or terms of use.
- Experience advising on IP-related issues in acquisition, investment, or financing transactions.
- Strong drafting and negotiation skills for complex commercial technology agreements.
