Our client is seeking a corporate associate to join its asset management transactions practice in Chicago. The opportunity is intended for an attorney in the 5th through 8th associate class with at least four years of asset management M&A experience, including GP stakes and control transactions.
The Work
- Advise on control acquisitions and minority GP-stakes investments involving asset managers, investment funds, and related financial-services businesses.
- Work on joint ventures and transactions involving broker-dealers, financial advisors, and other ancillary financial-services businesses.
- Support management-team spin-outs, lift-outs, carve-outs, corporate separations, restructurings, and succession-planning transactions.
- Handle additional liquidity matters such as continuation funds, preferred equity solutions, structured and synthetic secondaries, LP portfolio sales, NAV financings, strip sales, and tender offers.
- Work with a diverse client base that includes asset managers, private equity and GP staking firms, banks, insurance companies, other financial institutions, founders, management teams, and boards of directors.
- Contribute to transactions that require coordination of corporate structuring with investment-regulatory, enforcement, or compliance considerations.
What You Bring
- At least four years of experience in asset management M&A.
- Experience with GP-stakes transactions, including minority investments and control transactions.
- Experience advising on corporate transactions involving asset managers, investment funds, or related financial-services businesses.
- Familiarity with a range of transaction structures, including acquisitions, joint ventures, spin-outs, carve-outs, or restructurings.
- Ability to work with sophisticated institutional clients, founders, management teams, and boards on complex transactional matters.
