Position overview

Our client is seeking an associate to join its asset management transactions practice in New York City. The opportunity is for an attorney with at least four years of asset management M&A experience, including GP stakes and control asset management transactions, to join the 5th- through 8th-year associate classes.

The Work

  • Advise on corporate transactions involving asset managers, investment funds, broker-dealers, financial advisors, and other financial services businesses.
  • Work on full buyout and control transactions, minority GP stakes investments, and joint ventures involving asset management businesses.
  • Support management team spin-outs, lift-outs, carve-outs, corporate restructurings, separations, and succession-planning transactions.
  • Contribute to additional liquidity transactions, including continuation funds, preferred equity solutions, structured and synthetic secondaries, LP portfolio sales, NAV financings, strip sales, and tender offers.
  • Work with a diverse client base that includes asset managers, private equity firms, GP staking firms, banks, insurance companies, other financial institutions, founders, management teams, and boards of directors.
  • Coordinate on transactions supported by a global practice with reach across the US, Europe, the Middle East, and Asia, and engage with related investment regulatory, enforcement, and compliance matters.

What You Bring

  • At least four years of experience in asset management M&A.
  • Experience with GP stakes transactions and control asset management transactions.
  • Corporate transactional experience involving asset managers, investment funds, or related financial services businesses.
  • Knowledge of transaction structures such as buyouts, minority investments, joint ventures, spin-outs, or carve-outs.
  • Experience or interest in additional liquidity solutions, including continuation funds, preferred equity, secondaries, or NAV financings.
  • Ability to work with sophisticated institutional and business clients, including financial firms, founders, management teams, and boards.
