Our client is seeking a Washington, D.C.-based attorney to advise investment companies, their boards, and investment advisers across a wide range of products and regulatory matters. This position combines product development, fund lifecycle counseling, and direct client engagement.
The Work
- Counsel registered investment companies and their trustees or directors on fund formation, registration, ongoing compliance, and governance matters.
- Advise investment advisers on business and regulatory issues, including compliance with federal securities laws and applicable state requirements.
- Support product development, including analysis of novel fund designs across mutual funds, ETFs, listed closed-end funds, interval funds, tender offer funds, and business development companies.
- Draft and review prospectuses, statements of additional information, shareholder reports, and other documents for registered funds.
- Research and analyze novel legal questions, applicable laws and regulations, and developments in the investment management industry.
- Represent clients in interactions with the SEC and state securities regulators, coordinating responses and addressing regulatory issues.
- Work with lawyers, portfolio managers, product development professionals, and compliance officers to identify and resolve legal and operational questions.
- Contribute subject-matter expertise to related matters, including mergers and acquisitions in the financial services industry, and provide guidance to junior attorneys and legal staff.
What You Bring
- Three to six years of legal experience practicing in registered funds.
- J.D. from an accredited law school and admission to the bar in the relevant jurisdiction.
- Strong knowledge of laws and regulations governing registered investment companies and registered investment advisers.
- Experience advising on fund formation, registration, ongoing compliance, or product development.
- Ability to draft and review fund disclosure documents, including prospectuses, statements of additional information, and shareholder reports.
- Strong analytical, legal research, and problem-solving skills, including the ability to address novel regulatory issues.
- Clear communication skills and the ability to explain complex legal concepts to clients and internal stakeholders.
- Ability to build strong working relationships and contribute independently as well as within a global team.
- Preferred proficiency in responsible and ethical AI use, including selecting appropriate use cases, protecting confidentiality, verifying outputs, and exercising independent legal judgment.

Compensation & Benefits
Estimated base compensation is $260,000–$390,000, based on the 2026 Cravath scale; this is an estimate rather than firm-stated compensation.
