Position overview

Our client is seeking a San Francisco registered funds attorney to advise investment companies, their trustees and directors, and investment advisers across fund formation, product development, and ongoing regulatory matters. This position offers work across varied fund structures and the opportunity to engage directly with clients and regulators.

The Work

  • Advise registered investment companies and their trustees and directors on fund formation, registration, governance, and ongoing compliance.
  • Counsel investment advisers on business and regulatory matters, working with client lawyers, portfolio managers, product-development teams, and compliance officers.
  • Support product development, including the analysis of novel designs for mutual funds, ETFs, listed closed-end funds, interval funds, tender-offer funds, and business development companies.
  • Draft and review prospectuses, statements of additional information, shareholder reports, and other legal documents for registered funds.
  • Research and analyze novel legal issues, relevant regulations, and industry developments, and advise clients on applicable securities-law requirements.
  • Represent clients in interactions with the SEC and state securities regulators, and contribute subject-matter advice on financial-services mergers and acquisitions.
  • Provide training and guidance to junior attorneys and legal staff while collaborating with clients and internal teams.

What You Bring

  • Three to six years of legal experience practicing as a registered funds attorney.
  • J.D. from an accredited law school and admission to the bar in the relevant jurisdiction.
  • Strong knowledge of securities laws and regulations governing registered investment companies and registered investment advisers.
  • Experience advising on fund formation, registration, product development, or ongoing compliance matters.
  • Ability to draft and review fund disclosure documents, including prospectuses, statements of additional information, and shareholder reports.
  • Strong legal research, analytical, and problem-solving skills, including the ability to address novel issues.
  • Clear communication skills and the ability to explain complex legal concepts to clients and internal stakeholders.
  • Ability to build strong working relationships and contribute both independently and as part of a global team; proficiency in the responsible and ethical use of AI tools is preferred.

Compensation & Benefits

Estimated base compensation is $260,000–$390,000, based on the 2026 Cravath scale; this is an estimate and not firm-stated compensation.
