Position overview

Our client is seeking a New York attorney with 3–6 years of registered funds experience to counsel investment companies, their trustees and directors, and investment advisers on product development, formation, disclosure, and ongoing regulatory responsibilities.

The Work

  • Advise registered investment companies and their trustees or directors on formation, registration, governance-related matters, and ongoing compliance.
  • Counsel investment advisers on business and regulatory matters, working with client lawyers, portfolio managers, product development professionals, and compliance officers.
  • Support product development, including analysis of novel designs for mutual funds, ETFs, listed closed-end funds, interval funds, tender offer funds, and business development companies.
  • Draft and review prospectuses, statements of additional information, shareholder reports, and other legal documents for registered funds.
  • Analyze complex and developing questions under the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934.
  • Represent clients in interactions with the SEC and state securities regulators, and collaborate with colleagues on related financial-services M&A matters.
  • Provide training and guidance to junior attorneys and legal staff while working independently and as part of a global team.

What You Bring

  • 3–6 years of legal experience practicing in registered funds.
  • J.D. from an accredited law school and admission to the bar in the relevant jurisdiction.
  • Strong knowledge of securities laws and regulations affecting registered investment companies and registered investment advisers.
  • Experience or demonstrated capability advising on fund formation, registration, ongoing compliance, and product development.
  • Ability to draft and review fund disclosure documents, including prospectuses, statements of additional information, and shareholder reports.
  • Strong legal research, analytical, and problem-solving skills, including the ability to assess novel issues.
  • Clear communication skills and the ability to explain complex legal matters to clients and internal stakeholders.
  • Ability to build effective working relationships, manage responsibilities independently, and collaborate with a global team.
  • Preferred: proficiency in the responsible and ethical use of AI tools, including protecting confidentiality, verifying outputs, identifying appropriate use cases, and applying independent legal judgment.

Compensation & Benefits

The estimated base salary range is $260,000–$390,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
