Our client is seeking a Chicago-based attorney with 3–6 years of legal experience to advise registered investment companies, their investment advisers, and fund boards. The position combines fund lifecycle counseling, product development, disclosure drafting, and direct engagement with clients and regulatory authorities.
The Work
- Counsel registered investment companies and their trustees or directors on formation, registration, ongoing compliance, and other legal matters throughout the fund lifecycle.
- Advise investment advisers on business and regulatory issues, working with client lawyers, portfolio managers, product-development professionals, and compliance officers.
- Support product development, including the analysis and legal structuring of novel product designs for registered funds.
- Draft and review prospectuses, statements of additional information, shareholder reports, and other fund-related legal documents.
- Research and analyze novel questions under applicable securities laws and regulations, taking relevant legal developments and industry trends into account.
- Advise on compliance with the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934.
- Represent clients in interactions with the SEC and state securities regulators, and provide related subject-matter support on financial-services mergers and acquisitions.
- Provide training and guidance to junior attorneys and legal staff as part of a collaborative practice.
What You Bring
- 3–6 years of legal experience practicing in registered funds.
- J.D. degree from an accredited law school and admission to the bar in the relevant jurisdiction.
- Strong knowledge of securities laws and regulations affecting registered investment companies and registered investment advisers.
- Experience advising on fund formation, registration, ongoing compliance, or product development.
- Ability to draft and review fund disclosures, including prospectuses, statements of additional information, and shareholder reports.
- Strong legal research, analytical, and problem-solving skills, including the ability to assess novel issues.
- Clear communication skills and the ability to explain complex legal concepts to clients and internal stakeholders while building effective working relationships.
- Ability to work independently and collaboratively as part of a global team; proficiency in responsible and ethical AI use is preferred, including protecting confidentiality, verifying outputs, and applying independent legal judgment.

Compensation & Benefits
