Position overview

Our client is seeking a senior associate for its San Francisco real estate funds practice. This opportunity combines leadership in fundraising with substantive advice to sponsors and investors on the formation, operation, and management of sophisticated real estate investment products.

The Work

  • Advise real estate fund sponsors and investors on the formation, structuring, and management of open-end and closed-end real estate funds.
  • Lead teams through real estate fundraisings, coordinating with partners and contributing to negotiations with clients and investors.
  • Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and documents for co-investment vehicles.
  • Represent sponsors and investors in real estate fund transactions and negotiations, and help resolve legal issues involving fund operations and investor relations.
  • Coordinate with clients, investors, and service providers to facilitate fund closings; prepare and review disclosure documents and investor communications.
  • Support due diligence for real estate acquisitions and investments, and research legal and regulatory requirements affecting funds and related products.
  • Collaborate with tax, real estate, finance, and regulatory colleagues, supervise junior team members, and contribute to existing client relationships.
  • Use AI technologies responsibly and ethically to support legal research and document review.

What You Bring

  • At least five years of legal experience focused on real estate funds, co-investment vehicles, and real estate investment products, including experience at a global law firm.
  • Substantial experience advising on the structuring, formation, and management of open-end and closed-end real estate funds.
  • Experience representing real estate fund sponsors and investors in legal, regulatory, and transactional matters.
  • Strong knowledge of real estate fund structures, securities laws, and applicable regulatory frameworks.
  • Ability to draft and negotiate complex fund documents, including offering documents, partnership agreements, side letters, and co-investment vehicle documents.
  • California bar admission and a Juris Doctor degree from an accredited law school.
  • Proficiency in using AI technologies responsibly and ethically, with strong attention to detail and organization.
  • Ability to manage multiple matters and deadlines, lead and mentor junior associates, and develop into a trusted client advisor.

Compensation & Benefits

The estimated base salary range is $365,000–$435,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
