Our client is seeking an experienced attorney to join its New York City Asset Management practice, advising on real estate funds and related investment products. This senior associate opportunity combines substantial fund-formation work with the chance to lead fundraising teams, work directly with clients and investors, and collaborate across complementary legal practices.
The Work
- Advise real estate fund sponsors and investors on the formation, structuring, and ongoing management of open-end and closed-end real estate funds.
- Lead teams during fundraising processes, working alongside partners and coordinating with clients, investors, and service providers through fund closings.
- Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and documents for co-investment vehicles.
- Represent sponsors and investors in legal, regulatory, and transactional matters involving real estate funds, co-investment vehicles, and other real estate investment products.
- Analyze regulatory requirements and monitor legal developments affecting fund structures, co-investment vehicles, and related products.
- Prepare and review disclosure materials and investor communications, and identify and resolve issues involving fund operations, management, and investor relations.
- Support due diligence for real estate acquisitions and investments, collaborating with colleagues in tax, real estate, finance, and regulatory practices.
- Help maintain client relationships, develop as a trusted advisor, and supervise and mentor junior team members.
What You Bring
- At least five years of legal experience, including a focus on real estate funds, co-investment vehicles, and real estate investment products.
- Experience practicing at a global law firm and advising on both open-end and closed-end fund structures.
- Experience representing real estate fund sponsors and investors in transactional, legal, and regulatory matters.
- Strong knowledge of real estate fund structures, securities laws, and applicable regulatory frameworks.
- Demonstrated ability to draft, review, and negotiate complex fund and investment documents.
- A Juris Doctor degree from an accredited law school and admission to practice law in New York.
- Ability to manage multiple matters and deadlines, lead teams, and mentor junior associates.
- Ability to use AI technologies responsibly and ethically in legal research and document review.
